FROM THE BLOCK TO THE STAGE CONTEST (the “Contest”)
OFFICIAL RULES (the “Official Rules”)

 

1.               ELIGIBILITY

 

In order to participate in the Contest, you must meet the following eligibility requirements:

 

A.              You must be a legal resident of the United States, at least eighteen (18) years old at the time of entry with the unrestricted right to work for any United States employer and to live in the United States, and you must be eligible to accept the price set forth herein, if awarded. 

 

B.              You must be able to demonstrate to the satisfaction of Administrator that you do not have any contractual arrangement that would prohibit you from fully participating in the Contest and/or entering into any contracts required by Administrator or Rolling Loud, including, but not limited to, a live performance agreement, a live stream/video recording agreement, an eligibility statement and a grant of rights, release, confidentiality and arbitration agreement.

 

C.              You must not now be a candidate for public office and must agree not to become a candidate for public office until December 16, 2025, if selected as a Participant (as defined below).

 

D.             In addition to the rights granted elsewhere, you understand and agree that if your appearance, name, likeness, voice, singing voice, conversation, sounds and/or biographical data is used in connection with the Contest, you may be required, in consideration of Administrator or Rolling Loud using your appearance, name, likeness, voice, singing voice, conversation, sounds and/or biographical data in connection with the Contest, and at Administrator’s or Rolling Loud’s election, to enter into an agreement with Administrator and/or Rolling Loud for the use of your name, voice, conversation, likeness and biography, the terms of which shall be determined by Administrator and/or Rolling Loud.  You acknowledge that Producer may require you to sign further documents as a condition of your participation in the Contest.

 

E.              You may not participate in the Contest if your participation would create impropriety or the appearance of impropriety.  In addition, the following individuals are not eligible to participate in the Contest: (a) employees of (i) Rolling Loud, LLC (“Rolling Loud”), Live Nation Worldwide, Inc., Insomniac Holdings LLC or any of their respective related companies, (ii) vendors of Administrator, (iii) licensed alcoholic beverage distributors and retailers, (iv) Administrator (as defined in Section 2 below) and, in each case, any of its or their respective affiliates, subsidiaries, advertising agencies or any other company or individual involved with the design, production, execution or distribution of the Contest and (b) the immediate family (spouse, parents and step-parents, siblings and step-siblings, and children and step-children) and house hold members (people who share the same residence at least three (3) months out of the year) of each such individual.  Administrator reserves the right to render ineligible any person that Administrator determines, in its sole discretion, is sufficiently connected with the production, administration, judging or distribution of the Contest such that their participation in the Contest could create the appearance of impropriety.

 

The Contest is subject to all applicable federal, state and local laws and regulations.  Void where prohibited or restricted by law.  Participation in the Contest constitutes your full and unconditional agreement to these Official Rules and Administrator’s decisions, which are final and binding in all matters related to the Contest.  Winning a prize is contingent upon fulfilling all requirements set forth herein.  No purchase or payment is necessary to enter or win the Contest.

 

2.              ADMINISTRATOR

 

Administrator: 4 SHOOTERS ONLY LLC (“Administrator”).  Rolling Loud is not an administrator of the Contest, and is in no way responsible for the administration of the Contest, the verification of winners or, except as otherwise set forth herein, the fulfillment of prizing.  All inquiries regarding the Contest should be directed to Administrator.

 

3.              TIMING AND HOW TO ENTER.

 

The Contest begins on September 12, 2024 at 12:00 p.m. Eastern Time (“ET”) and ends on September 30, 2024 at 12:00 p.m. ET (the “Contest Period”).  Administrator is the official timekeeper for this Contest.

 

During the Contest Period, entrants must enter the Contest by: (1) filling out and submitting the entry form located at http://www.rollingloud.com/ftb, (2) including a link to either an original musical composition by you or a musical composition covered by you AND (3) checking the checkbox under the form agreeing to these Official Rules and Privacy Policy (collectively, the “Entry Method”).

 

Entering is freeLimit: one (1) entry per person during the Contest Period.  Multiple entries will automatically result in disqualification.  All entries must be received no later than 11:59:59 a.m. ET on September 30, 2024.  All entries (except with respect to any musical compositions submitted by you) become the property of Administrator and/or Rolling Loud and will not be returned. If entering via mobile website, wireless Internet access, SMS messaging and/or other forms of entry, other fees may apply. Please consult your wireless service provider regarding your pricing plan. Not all cellular phone providers carry necessary service to enter via mobile website. Wireless Internet access is not available in all areas. Proof of submission of an entry does not constitute proof of receipt of entry by Administrator or its agents. Administrator reserves the right to void all entries made through any third-party website or service, or through any robotic, automatic, mechanical, programmed or similar entry duplication method, and to disqualify any individual using such a website/service for the Entry Method. Administrator is not responsible for technical difficulties or Internet service disruptions or other equipment or service issues which might affect an online user’s ability to enter and qualify or the ability of Administrator to notify the winners. Facsimiles or mechanical reproductions will not be accepted, and entrants may not use any other device or artifice to enter in excess of the number of entries allowed.

 

4.              PARTICIPANT SELECTION.

 

A total of fifty (50) participants (each, a “Participant,” and collectively, the “Participants”) will be selected by Administrator from all eligible entries on or about September 30, 2024.  The selection of each Participant is subject to verification of each potential Participant’s eligibility.  Each Participant will be notified by e-mail.  Following the selection of the Participants, the Participants will be required to travel to either (i) Los Angeles, California, (ii) Detroit, Michigan, (iii) New York, New York, (iv) Chicago, Illinois or (v) Atlanta, Georgia, as determined by Administrator to participate in the next round of the Contest, which round shall take place in October, 2024 (the “Contest Round”) whereby each Participant will be required to perform a musical composition (the “Contest Round Performance”).  Each Contest Round Performance will be made available on Administrator’s and Rolling Loud’s official and verified social media accounts.  Parking, travel and accommodations for the Contest Round are not included and are the sole responsibility of each Participant.  To accept an invitation to participate in the Contest Round, each Participant must timely complete and return any further documents and all exhibits, schedules and attachments thereto that will be furnished to each Participant by Administrator and will include, among other things, an eligibility statement, a grant of rights, confidentiality and arbitration agreement, release forms and waivers for review and signature by you and/or your family members and each Participant must furnish valid proof of age in a form prescribed by Administrator (for example, a copy of a valid United States driver’s license, birth certificate or passport) within two (2) days of notification.  If any notification to a potential Participant is returned as undeliverable, or if a potential Participant cannot participate in the Contest Round, or if a potential Participant fails to return the necessary documents required by Administrator, or if Administrator deems a potential Participant ineligible to participate in the Contest Round for any reason, an alternate Participant will be selected by Administrator from the remaining entries received.

 

5.              FINALIST SELECTION

 

Following each Participant’s participation in the Contest Round and completion of each Participant’s Contest Round Performance, a total of five (5) finalists (each, a “Finalist,” and collectively, the “Finalists”) will be selected based on public voting that will be available on a website determined by Administrator, which is scheduled to take place beginning on November 1, 2024 and continuing through November 22, 2024.  Each Finalist will be notified by e-mail.  Following the selection of the Finalists, the Finalists will be required to travel to Miami, Florida to participate in the next round of the Contest, which round shall take place on December 3, 2024 and continue through December 5, 2024 (the “Finalist Round”) whereby each Finalist will be required to perform a musical composition in front of a panel of judges of Administrator’s choosing (the “Finalist Round Performance”).  Administrator shall provide each Finalist with travel to Miami, Florida and accommodations in Miami-Dade County, Florida for the Finalist Round.  To participate in the Finalist Round, each Finalist must timely complete and return any further documents and all exhibits, schedules and attachments thereto that will be furnished to each Finalist by Administrator and will include, among other things, an eligibility statement, a grant of rights, confidentiality and arbitration agreement, release forms and waivers for review and signature by you and/or your family members.

 

6.              WINNER SELECTION.

 

One (1) winner (the “Contest Winner”) will be selected by the panel of judges during the Finalist Round and will receive (i) an opportunity to perform at the 2024 Rolling Loud Miami music festival, which is scheduled to be organized on December 13, 2024 through December 15, 2024 (the “Festival Performance”) and (ii) an exclusive SHOPGLD diamond chain from Administrator.  The exact date, set time, set length and stage for the Festival Performance will be determined by Rolling Loud.  Travel and accommodations in connection with the Festival Performance shall be provided by Administrator.  To participate in the Festival Performance, the Contest Winner must timely complete and return any further documents and all exhibits, schedules and attachments thereto that will be furnished to the Contest Winner by Rolling Loud and will include, among other things, a performance agreement and a live stream/video recording agreement.  The approximate retail value (“ARV”) of the exclusive SHOPGLD diamond chain is FIVE HUNDRED DOLLARS ($500.00).  Actual value may vary.  Any difference between the stated ARV and the actual value will not be awarded.

 

7.              ENTRY CONDITIONS AND RELEASE.

 

By entering, each entrant agrees to: (a) comply with and be bound by these Official Rules and the decisions of Administrator, which are binding and final in all matters relating to this Contest; (b) release and hold harmless Administrator, Rolling Loud, Live Nation Worldwide, Inc., Insomniac Holdings LLC and any other organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Contest, and all of their respective affiliates and related entities and each of their respective officers, directors, agents, vendors, employees and other representatives (collectively, the “Released Parties”) from and against any and all claims, expenses and liability, including, but not limited to negligence and damages of any kind to persons and property, including, but not limited to, invasion of privacy (under appropriation, intrusion, public disclosure of private facts, false light in the public eye or other legal theory), defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright or other intellectual property rights, property damage, or death or personal injury arising out of or relating to an entrant’s entry, creation of an entry or submission of an entry, participation in the Contest, acceptance or use or misuse of any prize (including any travel or activity related thereto) and/or the broadcast, exploitation or use of entry; and (c) indemnify, defend and hold harmless the Released Parties from and against any and all claims, expenses, and liabilities (including reasonable attorneys’ fees) arising out of or relating to an entrant’s participation in the Contest and/or entrant’s participation in the Contest and/or entrant’s acceptance, use or misuse of any prize.  Any personally identifiable information collected during an entrant’s participation in the Contest will be collected by Administrator or Rolling Loud and used by Administrator, Rolling Loud and each of their respective affiliates, designees, agents and marketers for purposes of administration and fulfillment of the Contest as described in these Official Rules.

 

8.              PUBLICITY.

 

Except where prohibited, participation in the Contest constitutes each entrant’s consent to Administrator’s, Rolling Loud’s and each of their respective agents’ use of entrant’s name, likeness, photograph, voice, opinions and/or hometown and state for promotional purposes in any media, worldwide, without further payment or consideration.

 

9.              GENERAL CONDITIONS.

 

Administrator reserves the right to cancel, suspend and/or modify the Contest, or any part of it, if any fraud, technical failures or any other factor beyond Administrator’s reasonable control impairs the integrity or proper functioning of the Contest, as determined by Administrator in its sole discretion.  Administrator reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules or any other promotion or in an unsportsmanlike or disruptive manner.  Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Administrator reserves the right to seek damages from any such person to the fullest extent permitted by law. Administrator’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Entry in the Contest constitutes an entrant’s full and unconditional agreement to abide by and accept the terms and conditions of these Official Rules. No substitution of prize or cash equivalent. Prize is non-transferable except at the sole discretion of Administrator. All federal, state and local taxes on the prize are winner’s sole responsibility.  Finalists and winner each waive the right to assert as a cost of winning said prize any and all costs of redemption or travel to redeem said prize and any and all liability that might arise from redeeming or seeking said prize.  The value of the prize won in the Contest may be taxable as income to its winner.  Winner is solely responsible for any and all taxes and/or fees associated with the prize.  Upon receipt of a prize, the winner shall be required to comply with any and all applicable federal, state and local laws, rules and regulations. The stated ARV of the prize is based on available information provided to Sponsor. Any difference in ARV at the time of awarding will not be awarded, and the value of any prize awarded to a winner may be reported for tax purposes as required by law.  Administrator has not made any warranty, representation or guarantee, expressed or implied, in fact or in law, with respect to any prize awarded, and specifically disclaim all such warranties, representations or guarantees, including, without limitation, any warranty of merchantability or fitness for a particular purpose. Electronic Entries: In the event of a dispute, online entries will be deemed made by the authorized account holder of the email address submitted at time of entry. The authorized account holder is the natural person who is assigned to the email address by an Internet access provider, online service, or other organization that is responsible for assigning email addresses. A potential Participant may be required to show proof of being the authorized account holder. CAUTION: ANY ATTEMPT BY A PERSON TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, ADMINISTRATOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

 

10.            LIMITATION OF LIABILITY.

 

The Released Parties are not responsible for: (a) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Contest; (b) technical failures of any kind, including, but not limited to malfunctions, interruptions or disconnections in phone lines or network hardware or software; (c) unauthorized human intervention in any part of the entry process or the Contest; (d) technical or human error which may occur in the administration of the Contest or the processing of entries; or (e) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Contest or receipt or use or misuse of any prize. If for any reason an entrant’s entry is confirmed to have been erroneously deleted, lost or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Contest. No more than the stated prize will be awarded.

 

11.             CHOICE OF LAW AND DISPUTES.

 

By entering the Contest, entrants agree that all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant’s rights and obligations, or the rights and obligations of Administrator in connection with the Contest shall be governed by laws of the State of Florida without giving effect to any choice of law or conflict of laws principles. By participating in the Contest, entrants consent to the jurisdiction and venue of the federal, state and local courts located in Miami, Florida. Entrants agree that: (a) any and all disputes, claims and causes of action arising out of or connected with this Contest, or any prizes awarded, shall be resolved individually, without resort to any form of class action; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorneys’ fees; and (c) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.

 

12.            ENTRANT’S PERSONAL INFORMATION.

 

Information collected from entrants is subject to Rolling Loud’s Privacy Policy (located at http://www.rollingloud.com/privacypolicy).  Each entrant acknowledges that, by entering the Contest, entrant has opted into Rolling Loud’s Privacy Policy and, by opting into Rolling Loud’s Privacy Policy, has read and accepted Rolling Loud’s Privacy Policy.
